These Terms of Service ("Terms") govern access to and use of Evericade's websites, products, services and applications (collectively, the "Service"). By using the Service, you agree to these Terms.

1. About Evericade

Evericade, Inc. ("Evericade," "we," "us" or "our") verifies work-related activity submitted through approved collection methods and uses verified events to produce anonymised, aggregated company-to-company signals and analytics.

Evericade is designed to measure that professional activity occurred between organisations. Email bodies, subject lines and attachments are not used to create Inter-Company Signals.

2. Eligibility

You may use the Service only if:

• You are at least 18 years old.
• You have authority to agree to these Terms.
• Your use complies with applicable law and any policies that govern your professional communications.

If you access the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Participation and Verification

Where Evericade allows users to submit or connect work activity, you agree to submit only legitimate professional interactions that you are permitted to provide. Evericade may apply technical and behavioural checks to verify activity, exclude automated or irrelevant traffic, prevent abuse and protect the integrity of the Service.

Verification does not mean Evericade endorses the substance of a communication, transaction or relationship. It means only that the relevant event satisfied Evericade's verification criteria.

4. Data and Privacy

Evericade processes limited account, technical and organisation-level information needed to operate, verify and secure the Service. Inter-Company Signals are designed to be derived from anonymised and aggregated activity, rather than message content or individual employee behaviour.

5. User Responsibilities

You agree not to:

• submit fabricated, spoofed or misleading activity;
• use automation intended to manipulate Evericade signals or rewards;
• submit communications you are not authorised to provide, including sensitive, confidential or personal communications where submission would be inappropriate or unlawful;
• interfere with, reverse engineer, probe or circumvent the Service or its security controls; or
• use the Service in violation of applicable law.

We may suspend or restrict access where we reasonably believe these Terms have been violated or the integrity of the Service is at risk.

6. Rewards

Evericade may, from time to time, offer discretionary rewards, credits or other participation incentives. Unless separately agreed in writing, rewards are not guaranteed, may change or end at any time, and do not create an employment relationship with Evericade.

You are responsible for any tax or reporting obligations that apply to rewards you receive.

7. Commercial Access

Organisations receiving datasets, platform access, briefings or other commercial Evericade products may be required to enter into separate licensing or service terms. Those terms may impose additional restrictions, including controls on use, onward disclosure and attempts to re-identify individuals from aggregated outputs.

8. Intellectual Property

Evericade and its licensors retain all rights, title and interest in the Service, including its software, design, trademarks, methodologies and proprietary data products. Except where expressly permitted, you may not copy, modify, reverse engineer, redistribute or resell the Service.

9. Service Changes and Availability

We may change, suspend or discontinue features of the Service. We do not guarantee that any feature, dataset, reward programme or access method will remain available indefinitely.

10. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Evericade disclaims warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability and accuracy.

Evericade signals and analytics are informational. They are not investment, legal, tax, credit or other professional advice, and should not be relied upon as the sole basis for a decision.

11. Limitation of Liability

To the maximum extent permitted by law, Evericade will not be liable for indirect, incidental, special, consequential or exemplary damages arising from or relating to the Service.

Unless a separate written agreement states otherwise, Evericade's aggregate liability arising out of or relating to the Service will not exceed $100 USD.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access where permitted by law, including for misuse, security reasons, non-payment, violation of these Terms or discontinuation of the Service. Lawfully created anonymised or aggregated outputs may remain in aggregated datasets after an individual user stops participating.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-law principles, except where applicable law requires otherwise.

14. Changes to These Terms

We may update these Terms from time to time. The date at the top indicates the most recent revision. Material changes may be communicated through the Service or another appropriate channel.
